Legal Agreement and Binding Terms

These Terms and Conditions constitute a legally binding agreement between you and LedgerPro Professional Bookkeeping Institute (referred to as "we," "us," "our," or "the Institute"). By enrolling in our courses, accessing our educational materials, or using our services, you acknowledge that you have read, understood, and agree to be bound by all terms set forth in this agreement.

This agreement supersedes all prior agreements, representations, or understandings between you and the Institute. If you do not agree to these terms, you must immediately discontinue use of our services and may be eligible for a refund according to our stated refund policy.

These terms are governed by the laws of Japan, and you consent to the exclusive jurisdiction of Japanese courts for any disputes arising from this agreement.

2. Prohibited Activities and Conduct

You expressly agree not to:

  • Engage in any form of academic dishonesty, including plagiarism or cheating
  • Reproduce, distribute, or sell proprietary course materials
  • Use our educational content for unauthorized commercial purposes
  • Create derivative works from our copyrighted materials
  • Reverse engineer or attempt to extract source code from our platforms
  • Engage in harassment, discrimination, or hate speech
  • Violate the privacy or rights of other students or staff
  • Misrepresent your identity, qualifications, or credentials

3. Content Guidelines and Restrictions

When participating in discussions, submitting assignments, or creating content:

  • Content must be original and properly attributed
  • Submissions must be appropriate for an educational environment
  • You may not post defamatory, obscene, or harmful content
  • Commercial solicitation or advertising is prohibited
  • Content must respect cultural sensitivity and diversity

4. Age Restrictions and Legal Capacity

By accepting these terms, you represent that:

  • You are at least 18 years of age or have parental/guardian consent
  • You have the legal capacity to enter into binding agreements
  • All information provided during registration is accurate and truthful
  • You will maintain the accuracy of your personal information

5. Indemnification Obligations

You agree to indemnify, defend, and hold harmless LedgerPro Professional Bookkeeping Institute, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these terms, misuse of our services, or infringement of third-party rights.

Our educational services are provided "as is" and "as available" without warranties of any kind:

  • Employment Placement: Job placement assistance does not guarantee employment
  • Technical Performance: Platform availability and performance may be affected by factors beyond our control

2. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid for the specific course or service
  • We are not liable for indirect, incidental, or consequential damages

Course schedules and deadlines may be modified during such events.

Legal Information and Dispute Resolution

1. Governing Law and Jurisdiction

This agreement is governed by:

  • Applicable Law: Laws of Japan, specifically Tokyo jurisdiction
  • Court Jurisdiction: Tokyo District Court for legal proceedings
  • Language: Japanese legal system and procedures
  • Regulatory Compliance: Japanese educational and consumer protection laws

2. Dispute Resolution Procedures

For resolving conflicts or disputes:

Step 1: Direct Communication

Contact our Student Services department to discuss concerns informally within 30 days of the issue arising.

Step 2: Formal Complaint

Submit a written complaint to our administration if direct communication fails to resolve the issue.

Step 3: Mediation

Participate in mediation through a neutral third party before pursuing legal action.

Step 4: Legal Proceedings

Legal action must be initiated within one year of the dispute arising.

3. Severability Clause

If any provision of these Terms and Conditions is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

4. Terms Modification Policy

We reserve the right to modify these terms:

  • Continued use of services constitutes acceptance of modified terms

5. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and Course-Specific Terms, constitute the entire agreement between you and LedgerPro Professional Bookkeeping Institute. No verbal agreements, representations, or understandings outside this written agreement are binding.
